1. Ownership of Website and Company Content

All content on the EdCounsellors website and platform, including but not limited to text, logos, graphics, tool designs, the SOP Generator methodology and templates, guides, checklists, and proprietary frameworks, is the intellectual property of EdCounsellors and is protected under applicable copyright, trademark, and unfair-competition laws. No content may be copied, reproduced, distributed, or used to build a competing service without our prior written consent.

2. Materials Prepared for Students

Documents we prepare for individual students (e.g., SOPs, LORs, cover letters) are licensed to that student for their personal use in their own application process. The underlying templates, structures, phrasing frameworks, and methodology used to produce them remain the intellectual property of EdCounsellors and may not be resold, redistributed, or used to build a competing document-generation service.

3. Confidentiality and IP Protection for B2B Partners

This section applies to any university, institution, agency, employer, or business ("Partner") that receives materials, data, tools, pricing, methodologies, or documentation from EdCounsellors as part of a business relationship.

a) Ownership

All materials shared by EdCounsellors with a Partner, including but not limited to marketing collateral, pricing sheets, student profile formats, proprietary SOP frameworks, training materials, presentations, reports, and any other business or technical documentation ("EdCounsellors Materials") remain the sole and exclusive intellectual property of EdCounsellors, whether or not marked as confidential.

b) Restricted use

EdCounsellors Materials are provided to the Partner solely for the purpose of the specific engagement between EdCounsellors and the Partner. The Partner shall not, without EdCounsellors' prior written consent:

• Share, forward, publish, or disclose EdCounsellors Materials to any third party, including competitors, sub-agents, or other consultancies;

• Copy, reproduce, adapt, or create derivative works based on EdCounsellors Materials;

• Use EdCounsellors Materials for any purpose beyond the agreed engagement, including to build, train, or improve a competing product, service, or internal tool;

• Reverse-engineer any process, template, or methodology contained within the Materials.

c) Return or deletion

Upon termination of the business relationship, or upon EdCounsellors' request, the Partner shall promptly return or permanently delete all EdCounsellors Materials in its possession and confirm this in writing.

d) Survival

These confidentiality and IP obligations survive the termination or expiry of any agreement between EdCounsellors and the Partner, and continue to apply for a common period of 3–5 years, or "indefinitely" for trade secrets after the relationship ends.

e) Remedies

Unauthorized use or disclosure of EdCounsellors Materials by a Partner constitutes a material breach and entitles EdCounsellors to seek injunctive relief and damages, in addition to any other remedy available under law. Where a formal partnership agreement exists between EdCounsellors and a Partner, that agreement's IP and confidentiality clauses shall govern and this section shall apply to the extent it does not conflict.

4. Trademarks

"EdCounsellors" and our associated logo(s) are trademarks (registered or common-law, as applicable) of EdCounsellors. No party may use our name, logo, or branding to imply endorsement, partnership, or affiliation without prior written permission.

5. Reporting Misuse
